1. About these Terms and your agreement

1.1 Scope

These Terms govern your use of [PLATFORM NAME], including its website-based OCR services, applications, software interfaces, application programming interfaces ("APIs"), and associated features and support, collectively the "Platform."

"You" means the individual using the Platform or, where an individual is acting with authority for an organisation, that organisation.

A "Consumer" is a person entitled to consumer protection in relation to the relevant transaction under applicable law. A "Business Customer" is a customer who is not acting as a Consumer for that transaction.

1.2 Acceptance

You accept these Terms by taking an affirmative acceptance action, such as selecting an unchecked acceptance box, clicking a clearly labelled acceptance button, or signing an agreement incorporating these Terms.

Merely visiting a publicly accessible webpage does not, by itself, constitute acceptance.

We will make these Terms available before acceptance and provide a copy or confirmation that you can retain. A paid order becomes binding when we confirm its acceptance.

1.3 Related documents

The agreement between us consists of these Terms, their completed schedules, your accepted order or subscription details ("Order"), and any expressly incorporated service description, security schedule, service-level agreement, or Data Processing Agreement ("DPA").

These documents must be available to you before they become binding.

Mandatory law takes priority. Any legally required data-transfer clauses take priority on matters they govern. A DPA takes priority on processing personal data on your behalf. An individually negotiated agreement may override specified provisions expressly identified in it. An Order otherwise determines commercial details such as price, plan, and duration.

Our Privacy Notice explains our personal-data practices. It does not independently grant us additional rights to use Customer Content or reduce our obligations under this agreement.

1.4 Mandatory rights

Nothing in this agreement excludes or restricts rights, remedies, or obligations that cannot lawfully be excluded or restricted.

2. Eligibility, accounts, and authorised users

You must be at least 18 years old and otherwise legally able to enter into this agreement. A person accepting these Terms for an organisation must have authority to bind it.

You must provide accurate account information and keep important contact and billing details current.

You must take reasonable steps to protect passwords, API keys, and other credentials, manage access by authorised users, and notify us promptly after discovering suspected unauthorised access.

Business Customers are responsible for administering their authorised users and ensuring that those users follow this agreement.

You are not automatically liable for every unauthorised action merely because it occurred through your account. Responsibility for unauthorised activity will depend on the circumstances, each party's conduct, and applicable law.

We will provide reasonable assistance to secure a compromised account.

3. The Platform and our technology

3.1 Service description

The Platform processes documents and images to extract text and, where included in your plan, related structure or formatting.

Supported formats, languages, technical requirements, file-size limits, processing limits, output formats, and included features are described in [SERVICE DOCUMENTATION LOCATION].

Material limitations relevant to your purchase or upload will be disclosed before the relevant transaction.

3.2 Permission to use the Platform

During this agreement, you may use the Platform within your accepted plan and the rights granted by these Terms.

API access may be integrated into your applications and workflows within the permitted use and usage limits of your Order. Reselling standalone access to the Platform requires a separate written agreement.

3.3 Platform intellectual property

We and our licensors retain the rights we respectively hold in Platform technology, including software, model components, proprietary modifications, interface design, and branding.

Third-party and open-source components remain subject to their applicable licences. These Terms do not restrict rights those licences or mandatory law give you.

You may not copy, distribute, or reverse engineer Platform technology except as authorised by us, applicable licences, or applicable law. This restriction does not apply to your Customer Content.

4. AI outputs, limitations, and verification

"Outputs" means text and related results extracted or generated from your uploaded materials.

Outputs are produced automatically and may contain incorrect text, omissions, formatting errors, invented text, or other inaccuracies. Results may vary with document quality, language, handwriting, layout, and other factors.

You must review Outputs to a degree appropriate to their intended use. Before using Outputs in legal filings, financial transactions, medical decisions, identity checks, or other decisions with significant consequences, a suitably qualified person must check the relevant information against the source.

The Platform does not, merely by processing a document, authenticate it, certify its accuracy, or provide legal, medical, financial, or other professional advice.

These limitations do not excuse our failure to provide the service with reasonable care and skill or to meet our confidentiality, security, or other express obligations.

Any allocation of responsibility for loss involving unverified Outputs will take account of causation, the parties' respective conduct, Section 16, and applicable law. Failure to verify an Output is not an automatic waiver of every remedy.

5. Customer Content and permitted processing

5.1 Ownership

"Customer Content" means documents, images, and other materials you submit to the Platform, together with their Outputs.

You retain whatever rights you hold in Customer Content. We do not claim ownership of your uploaded materials or Outputs. To the extent we acquire transferable intellectual property rights specifically in your Outputs, we assign those rights to you, excluding underlying Platform technology.

Processing does not give you rights in third-party material that you did not already have or otherwise lawfully acquire. We do not promise that every Output qualifies for intellectual property protection.

5.2 Limited processing permission

You grant us a non-exclusive, royalty-free permission to receive, reproduce, transmit, process, and temporarily store Customer Content only as reasonably necessary to:

(a) provide the OCR service and features you request;

(b) provide support you request;

(c) maintain the security and integrity of that processing; and

(d) comply with applicable legal obligations.

This permission is limited by this agreement, the DPA where applicable, and the retention schedule. It ends when the relevant Content has been deleted, except for narrowly required legal retention.

5.3 No sale, advertising use, or model training

We will not sell Customer Content, disclose it for targeted advertising, or use it to train or fine-tune AI models.

We will not use Customer Content to build unrelated datasets or evaluate models for unrelated product development. We will require service providers handling Customer Content on our behalf to follow equivalent restrictions.

These Terms do not authorise such uses through general references to improving our services. Any separate voluntary programme involving those uses would require a separate express agreement and any other necessary lawful permissions.

5.4 Operational statistics

We may use non-content operational information, such as request counts, processing times, error codes, and resource usage, to operate and improve the Platform, subject to our Privacy Notice.

We will not include document images, extracted text, or confidential document contents in general product analytics.

5.5 Publicity

We will not publicly display your documents, Outputs, name, or logo as customer examples or endorsements without your permission.

6. Your responsibilities for uploaded material

You must have the rights, licences, permissions, or other valid legal basis needed for the processing you request. This may include a lawful statutory exception; ownership or express permission from a copyright holder is not always required.

You must not knowingly submit material or instructions that infringe intellectual property rights, unlawfully disclose personal information or trade secrets, or breach confidentiality obligations.

Before uploading, you must make reasonable checks appropriate to the material and intended processing. Where personal data is involved, you are responsible for the lawful basis, notices, and permissions required for your own activities. We remain responsible for obligations applying to our activities.

Unless an approved plan and any necessary additional agreement expressly permit it, do not upload medical records, biometric identification data, criminal-offence records, payment-card authentication data, account passwords, classified information, or other restricted categories identified in Schedule A.

You should submit only the information necessary for the requested task and redact unnecessary sensitive information where practical.

A prohibited upload does not remove our security or confidentiality responsibilities for material we actually receive.

7. Acceptable use

You must not use the Platform to:

(a) commit fraud, knowingly create or pass off forged documents, or facilitate other unlawful conduct;

(b) infringe intellectual property rights or unlawfully obtain, process, disclose, or exploit personal or confidential information;

(c) upload malicious software, gain unauthorised access, interfere with other users, or deliberately disrupt the Platform; or

(d) evade agreed usage limits, payment controls, or legitimate security restrictions.

Lawful evidence review, journalism, research, or document analysis is not prohibited merely because a document describes wrongdoing or contains objectionable subject matter. The processing must itself be lawful and comply with applicable service restrictions.

These Terms do not prohibit security research or other activities that applicable law expressly protects. Suspected vulnerabilities should be reported to [SECURITY CONTACT].

Each party remains responsible for compliance with laws applicable to its own conduct.

8. Confidentiality

Each party must protect the other's confidential information using reasonable care and use it only to perform or exercise rights under this agreement.

Customer Content is your confidential information, whether or not marked confidential. Credentials and non-public business, technical, or security information may also be confidential.

Access must be limited to personnel, advisers, and service providers who need it for an authorised purpose and are bound by appropriate confidentiality duties. We remain responsible for service providers acting on our behalf as provided in this agreement.

Confidentiality does not apply to information the receiving party can demonstrate was lawfully public, already lawfully known without restriction, independently developed, or lawfully received without confidentiality restrictions. These exceptions do not override personal-data obligations.

Where disclosure is legally required, the receiving party will disclose only what is required and give advance notice where legally permitted and reasonably practicable.

Nothing here prevents reporting unlawful conduct, cooperating with regulators, obtaining professional advice, or making truthful statements about a customer experience without disclosing another person's protected information.

9. Personal data, security, and service providers

9.1 Roles and processing agreements

Each party will comply with data-protection obligations applicable to its actual role.

Where we process personal data on your behalf, the applicable DPA forms part of this agreement and must be in place before that processing begins.

The DPA addresses processing instructions, authorised data categories, confidentiality, security, subprocessors, assistance, compliance information, international transfers, and deletion or return.

Our processing of account, contact, and billing information for our own administrative purposes is described separately in the Privacy Notice.

9.2 Security commitments

We will maintain technical and organisational safeguards appropriate to the risks and the measures specified in [SECURITY SCHEDULE TITLE, VERSION, AND LOCATION].

Those measures will include access controls, protection of credentials, encryption in transit and at rest for stored Customer Content, separation of customer access, incident-response procedures, and periodic security testing.

No system can be guaranteed completely secure. This does not reduce our obligation to implement and maintain the agreed safeguards.

9.3 Service providers and processing locations

Providers that process Customer Content for us, their functions, and relevant processing locations are identified in [SUBPROCESSOR LIST LOCATION].

We will impose appropriate contractual protections on those providers and remain responsible for their performance of processing obligations undertaken on our behalf.

Where we act as your processor, proposed changes to subprocessors will follow the DPA. Unless that agreement establishes a different lawful procedure, we will provide at least 30 days' advance notice and an opportunity to raise reasonable data-protection objections.

Where an objection cannot reasonably be resolved, you may terminate the affected service without a termination penalty and receive a refund of unused prepaid amounts for that service.

International processing must follow the disclosed arrangements and any applicable transfer requirements. Disclosure of a location alone does not authorise us to disregard those requirements.

9.4 Security incidents

After becoming aware of a security incident involving unauthorised access to, disclosure of, loss of, or alteration of your Customer Content, we will notify you without undue delay and within any shorter applicable legal or contractual deadline.

We will provide available information about the incident, likely effects, response measures, and contact arrangements, with further information as it becomes available. We will not delay initial notification solely because our investigation is incomplete.

Each party will perform its own notification duties and provide reasonable cooperation to the other.

10. Storage, retention, export, and deletion

The retention periods and processing locations in Schedule A form part of this agreement. They apply separately to source files, Outputs, temporary copies, support records, and backups.

We will not retain Customer Content indefinitely merely because an account remains open.

You may request deletion through [DELETION METHOD]. We will delete active copies and expire backup copies within the applicable periods in Schedule A or the DPA.

Backup copies awaiting deletion will remain protected and unavailable for ordinary use. Where a backup is restored for recovery, applicable deletion instructions will be reapplied.

We may retain the minimum information legally required for the required period. Such retained information will remain protected and will not be used for unrelated purposes.

You should keep your own source documents. The Platform is not a long-term archive unless your Order expressly includes archival storage.

You may retrieve Content while it remains available under the agreed retention arrangements. Before planned termination, we will provide a reasonable opportunity to export still-retained Content. Following an immediate suspension, we will provide a secure means of retrieving still-retained lawful Content where reasonably possible without creating a security risk or breaching the law.

These provisions do not require us to reconstruct Content already deleted according to your instructions or the agreed schedule. We will not withhold otherwise available Customer Content solely to pressure you to pay a disputed charge.

11. Prices, billing, subscriptions, and cancellation

11.1 Charges and usage

Your Order will identify the price, currency, taxes, billing frequency, included allowance, billable unit, usage limits, and any overage charges.

Consumer prices will include applicable taxes and unavoidable charges. Any tax-exclusive business pricing will be clearly identified.

The Order will explain treatment of rejected files, unsuccessful jobs, retries, and duplicate requests. We will not charge for processing failures caused by our systems or duplicate charges caused by our error.

Overage charges require an expressly accepted arrangement. Otherwise, we will stop or limit usage when the purchased allowance is exhausted.

11.2 Trials and recurring payments

A free trial will not become a paid service unless you have expressly accepted the paid arrangement, including the price and conversion date.

Subscriptions do not renew automatically unless you separately select and accept an expressly disclosed automatic-renewal arrangement.

For an accepted recurring subscription, you authorise charges for the agreed renewal periods until cancellation takes effect. We will provide legally required reminders and, for annual renewals, at least 30 days' advance reminder.

11.3 Cancelling a subscription

You may cancel renewal through your account or by contacting [CANCELLATION CONTACT]. We will provide confirmation.

Unless you exercise an earlier termination or withdrawal right, cancellation takes effect at the end of the current paid period, and access continues until then. We will not charge for a subsequent period after a timely cancellation.

Stopping use alone does not automatically refund an otherwise available paid period. This does not affect withdrawal rights, remedies for defective service, or refunds otherwise provided by this agreement or law.

11.4 Credits and refunds

Purchased processing credits will not expire unless a lawful expiry condition was prominently disclosed and accepted before purchase. Unused purchased credits will be refunded on account closure. Promotional credits have no cash value.

Refunds due under this agreement will be made without undue delay, ordinarily within 14 days, and within any shorter legally required period. We will use the original payment method unless another method is agreed without additional cost to you.

11.5 Billing disputes and price changes

You may raise billing concerns at [BILLING CONTACT]. We will investigate and explain the charge. A genuine, reasonably supported dispute will not by itself justify suspension while you cooperate and pay undisputed amounts.

Prices will not change during an agreed fixed paid term without your express agreement. Changes for a later term require at least 30 days' notice and a clear opportunity not to renew.

We will obtain renewed payment authorisation where required.

12. Consumer withdrawal and cooling-off rights

This section applies where you have a statutory right to withdraw from a distance contract.

We will provide the applicable withdrawal information before purchase. Where you are entitled to a 14-day withdrawal period for a service contract, you may withdraw without giving a reason within 14 days after the contract is concluded, subject to any longer period or extension required by law.

You may notify us using the form in Schedule B, another clear statement sent to our contact address, or an online withdrawal function where provided or required. Use of the form is optional.

We will not begin a paid service during an applicable withdrawal period unless you expressly request early performance.

Where you request early performance and later withdraw, we may charge only a proportionate amount for services actually supplied, and only where the required information and permissions were obtained and the charge is lawful.

We will rely on an exception for a fully performed service only where all applicable conditions have been met, including any required separate request, consent, acknowledgement, and confirmation.

Generating an OCR Output does not, by itself, establish that you have waived your withdrawal rights or that an ongoing subscription has been fully performed.

We will reimburse amounts due following withdrawal within 14 days after receiving your notice, subject only to deductions lawfully permitted for the relevant service.

13. Our service commitments and your remedies

We will provide the Platform with reasonable care and skill and substantially in accordance with the agreed service description.

We do not promise error-free Outputs or uninterrupted availability. Any specific accuracy, availability, response-time, or support commitments must be stated in your Order or service-level agreement.

These qualifications do not remove express commitments or mandatory guarantees.

Where the service materially fails to meet this agreement, notify us at [SUPPORT CONTACT]. We will investigate and, where appropriate, correct or reperform the affected service without additional charge within a reasonable time.

Where correction is impossible, repeatedly unsuccessful, or not provided within a reasonable time, you may request an appropriate price reduction or terminate the affected service and receive the applicable refund.

You retain any right to an immediate remedy where required by law or justified by the seriousness of the failure.

Service credits are not your exclusive remedy unless a separately negotiated business agreement expressly and lawfully provides otherwise. We will not require a Consumer to accept account credits instead of a legally required monetary refund.

14. Suspension and termination

14.1 Grounds for action

We may suspend affected access where we have reasonable grounds to believe that:

(a) it creates a serious security risk or is being used unlawfully;

(b) a material breach of this agreement requires intervention;

(c) an undisputed payment remains overdue after notice and a reasonable opportunity to pay; or

(d) suspension is legally required.

Action must be proportionate and, where practical, limited to affected features, credentials, or Content.

14.2 Notice and review

Except where immediate action is reasonably necessary for security, prevention of serious harm, or compliance with law, we will explain the issue and give at least 14 days to remedy a remediable breach.

If we act immediately, we will explain our reasons as soon as reasonably possible, unless disclosure is prohibited or would create a material security risk.

You may request review at [REVIEW CONTACT]. We will consider relevant information and ordinarily respond within 14 days. We will restore access promptly where the grounds no longer apply or our decision was mistaken, and make an appropriate adjustment for paid service wrongly withheld.

14.3 Ending the agreement

You may close your account or cancel services as described in Section 11, and terminate earlier where this agreement or applicable law permits.

Either party may terminate an affected service for a material breach that cannot be remedied or remains unremedied after the applicable notice period.

We may discontinue a free service or end an indefinite arrangement on at least 60 days' notice. We will not terminate a committed fixed-term paid service merely for convenience before the agreed end date without your agreement.

14.4 Consequences

After termination, future access ends except for agreed export or transition arrangements. Properly incurred charges for services already supplied remain payable.

Where we terminate a service early, or you terminate because of our breach or a permitted adverse change, we will refund unused prepaid fees for the affected service and unused purchased credits.

We will not automatically confiscate unused balances as a penalty. Claimed damages will be handled separately unless a deduction is agreed or lawfully established.

Customer Content will be handled under Section 10 and the DPA. Termination does not waive accrued claims or mandatory remedies.

15. Changes to the Platform or these Terms

We may make reasonable technical changes to improve security, correct faults, maintain compatibility, comply with law, or develop the service.

We will not materially reduce agreed core functionality during a fixed paid term without your agreement, except where a change is legally required or reasonably necessary to address a serious security issue.

For a materially adverse service change, we will normally give at least 30 days' notice, explain the reason, and allow you to terminate the affected service without penalty and receive a refund of unused prepaid fees.

Where an urgent change is necessary, we will give as much notice as reasonably possible and preserve applicable termination and refund rights.

We will provide advance notice of proposed material changes to these Terms. Changes to liability, dispute arrangements, content-use permissions, or other material legal obligations require express acceptance before applying to you. Silence or continued use alone will not establish that acceptance.

If you do not accept, the existing terms continue for an existing fixed paid term unless lawful termination grounds apply. We may offer a later renewal on the revised terms.

Changes will not retrospectively authorise new uses of previously submitted Customer Content.

16. Liability

16.1 Responsibilities that are not excluded

Nothing in this agreement limits or excludes liability for fraud, fraudulent misrepresentation, wilful misconduct, gross negligence, death or personal injury caused by negligence, or any liability that cannot lawfully be limited or excluded.

Nothing limits an individual's mandatory data-protection rights or a regulator's powers.

16.2 Consumers

For Consumers, the parties' liability is governed by applicable law. The business liability caps, business loss exclusions, and indemnities below do not apply to Consumers.

16.3 Business Customers: general cap

Subject to Sections 16.1 and 16.4, each party's aggregate liability arising from events occurring in a Contract Year is limited to the greater of:

(a) [CURRENCY AND POSITIVE MINIMUM CAP AMOUNT]; and

(b) the fees paid or payable under this agreement for that Contract Year, excluding taxes.

A "Contract Year" is each successive 12-month period beginning on the agreement's start date. Events after termination relating to the agreement are attributed to the final Contract Year.

16.4 Business Customers: higher cap

For liability arising from a breach of confidentiality, agreed security or data-protection obligations, intellectual property infringement, or an indemnity under Section 17, the cap is three times the general cap in Section 16.3.

Ordinary claims remain subject to the general cap. Total liability for capped claims in the same Contract Year will not exceed the higher cap where it applies. Caps do not create multiple recoveries for the same loss.

Reasonable defence costs, settlements, and other amounts payable under Section 17 count towards the applicable higher cap.

16.5 Business Customers: excluded losses

Neither party is liable to the other for indirect or consequential losses. Loss of profit or revenue is excluded only to the extent it is indirect or consequential.

This exclusion does not exclude otherwise recoverable reasonable direct costs of restoring data, responding to a confidentiality or security breach, or amounts covered by Section 17. It does not apply to liability preserved by Section 16.1.

16.6 Other rules

Payment of properly due service fees and required refunds is not reduced by these caps.

The parties must take reasonable steps to mitigate recoverable losses. Neither party may recover twice for the same loss.

These Terms do not impose a shorter claim-filing period than applicable law.

17. Third-party claims - Business Customers only

17.1 Claims concerning our technology

We will defend you against a third-party claim that Platform technology supplied by us and used as authorised under this agreement infringes that party's intellectual property rights.

We will pay covered amounts finally awarded by a court, settlements approved under this section, and reasonable defence costs.

This obligation does not apply to the extent a claim is caused by infringing Customer Content, an unauthorised modification, or a combination not supplied or reasonably contemplated by us where the claim would not otherwise arise.

17.2 Claims attributable to your supplied materials or deliberate misuse

You will defend us against a third-party claim to the extent caused by:

(a) your supplying material without the rights or other lawful basis required by Section 6, resulting in infringement of that third party's intellectual property rights; or

(b) your deliberate unlawful misuse of the Platform.

You will pay covered amounts finally awarded, approved settlements, and reasonable defence costs.

This obligation does not arise merely because any provision of these Terms was breached or because conduct occurred through a compromised account.

17.3 Allocation and procedure

Neither party must cover the portion of a claim caused by the other party's breach, negligence, misconduct, unauthorised changes, or processing outside agreed instructions.

The party requesting protection must give prompt notice and reasonable cooperation. Delay in notice reduces protection only to the extent it materially prejudices the defence.

The defending party may control the defence using suitably qualified counsel. The protected party may participate through its own counsel at its own expense, except where a material conflict reasonably requires separate representation.

No settlement may admit fault, impose non-monetary obligations, or leave the protected party without an appropriate release without its prior written consent. Consent must not be unreasonably withheld.

17.4 Technology-related remedies

Where a covered technology claim arises, we may obtain continued-use rights or provide a reasonably equivalent non-infringing modification or replacement.

If neither is reasonably practical, we may terminate the affected service and refund unused prepaid amounts. This does not remove obligations for an accrued covered claim or other available remedies.

All obligations in this section remain subject to Section 16.

18. Complaints and dispute resolution

You may submit complaints to [COMPLAINTS CONTACT]. We aim to acknowledge them within five business days and provide a substantive response within 30 days, or explain why more time is needed.

Any applicable alternative dispute-resolution body and participation arrangements will be identified in [COMPLAINTS INFORMATION LOCATION].

Using our complaints process is not a prerequisite to exercising legal rights. It does not stop a legal limitation period from running.

These Terms do not require arbitration or waive any available right to collective proceedings, representative actions, or regulatory complaints.

19. Governing law and courts

For Business Customers, this agreement is governed by the laws of [GOVERNING JURISDICTION], and the courts of [CITY AND JURISDICTION] have non-exclusive jurisdiction.

For Consumers, this choice of law does not deprive you of mandatory protections available under applicable consumer law. You may bring proceedings before any court available to you under applicable law, including courts in your place of residence where you have that right.

We will bring proceedings against a Consumer only in a court permitted by applicable consumer-jurisdiction rules.

20. Other terms

Events outside reasonable control. A party is not responsible for delay to the extent caused by an event genuinely outside its reasonable control that it could not reasonably prevent or overcome. It must notify the other party and take reasonable mitigation measures. A preventable security failure or ordinary supplier problem does not automatically qualify. If an affected paid service remains materially unavailable for 30 days, you may terminate it and obtain a refund for the unused prepaid portion. Mandatory rights and continuing data-protection duties remain unaffected.

Transfers of the agreement. Neither party may transfer this agreement in a way that materially reduces the other's protections without consent. We may transfer it to a genuine business successor that assumes our obligations, with notice. If that materially disadvantages you, you may terminate and obtain the applicable unused-prepayment refund.

Notices. Contractual notices may be sent to the contact details stated above or maintained in your account. We will use a form you can retain for material contractual notices and provide any alternative form required by law.

Entire agreement. This agreement records the parties' agreement on the Platform. It does not exclude liability for fraud or remove legally protected representations or pre-contract information.

Severability and waiver. If a provision is unenforceable, the remaining provisions continue where they can operate lawfully. We do not acquire a unilateral right to rewrite an invalid provision. Failure to enforce a right immediately is not a permanent waiver.

Continuing provisions. Ownership, confidentiality, required data handling, accrued payment and refund obligations, liability, covered third-party claims, and dispute provisions continue after termination to the extent needed to give them effect.

Unless stated otherwise, references to days mean calendar days.
